Diligence Framework

A scorecard built for the region

Most early-stage frameworks were written for the US. This one adds the four things that decide outcomes in Latin America and rarely appear on a Silicon Valley checklist: currency mismatch between revenue and cost base, country-by-country regulatory exposure, the realistic exit path, and cap table quality after several local rounds.

Structure (working)

Five blocks, each scored 1–5 with written evidence: Product (which workflow do you own, what breaks if you are removed), Economics (gross margin after local costs, revenue currency, retention evidence), Distribution (who initiates the sale, implementation burden, dependency on a single strategic), Regulation & FX (licences by country, devaluation scenario, capital controls), and Exit (named acquirers, precedent transactions, cap table headroom).
